TERMS & CONDITIONS

These Terms and Conditions ("Terms") govern the access to and use of the website, platform, applications, tools, and services operated under the brand name SkillO, owned and operated by Skills Oxygen LLP ("Skills Oxygen LLP", "SkillO", "we", "us", or "our").

By accessing, registering on, browsing, or using the SkillO website or services in any manner, you ("User", "you") agree to be legally bound by these Terms. If you do not agree, you must not access or use the platform.

1. DEFINITIONS

For the purposes of these Terms:

• "Platform" means the SkillO website, applications, tools, dashboards, and digital services.
• "User" includes Individuals, Institutions, Industry Partners, Employers, Recruiters, Companies willing to use SkillO services and authorized representatives.
• "Individual" means any person using SkillO for employability, assessment, counselling, advisory and consultancy services, project management, operations management or placement support.
• "Institution" means educational, skilling or training institutions partnering with SkillO.
• "Industry Partner" / "Employer" means organizations listing opportunities or engaging with SkillO.
• "Services" means all advisory, consultancy, skilling, assessment, placement, facilitation and digital services offered by SkillO.

2. PLATFORM ROLE & LIMITATION

SkillO, operated by Skills Oxygen LLP, functions as:

• A digital facilitation and skills enablement platform
• An assessment-driven employability and workforce readiness partner
• An integrator between individuals, institutions, and industry

SkillO is not:

• An employer or recruiter
• A placement agency guaranteeing jobs
• A training institute issuing certifications (unless explicitly stated)
• A decision-maker in hiring, admissions, or compensation

All employment, academic, institutional, and business decisions are made solely by the relevant parties.

3.3 Individual Employability

• Skill-based employability assessment
• Skill gap assessment and competency training
• Skill matching placement support
• Job-linked skill training
• Aptitude tests
• Career counselling
• Life skill training

3.4 Advisory and Consultancy Services

• Audit and assessment of existing skill ecosystem and recommend way forward
• Quality audit and skill gap analysis
• Implementation of one or all seven elements of SkillO Excellence Model
• Project management and operational support

All services are advisory and facilitative in nature and do not constitute guarantees.

4. USER ELIGIBILITY

You must:

• Be at least 18 years of age, or
• Access SkillO through an authorized institution with valid consent

By using the Platform, you represent that you are legally competent to enter into a binding agreement.

5. USER ACCOUNTS & RESPONSIBILITIES

Users agree to:

• Provide accurate, complete, and up-to-date information
• Maintain confidentiality of login credentials
• Be solely responsible for all activity on their account

Skills Oxygen LLP reserves the right to suspend or terminate accounts for false information, misuse, or violation of these Terms.

6. DATA, CONTENT & USER SUBMISSIONS

Users retain ownership of content they submit but grant Skills Oxygen LLP a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content for service delivery.

Users represent that they have all rights and permissions to submit such content.

7. AI, ASSESSMENTS & ADVISORY OUTPUTS

SkillO may use:

• AI-based matching and analytics
• Skill assessments and diagnostics
• Advisory insights and recommendations

All outputs are:

• Indicative and assistive only
• Not guarantees of outcomes
• Subject to data quality and user inputs

Users acknowledge that human judgment and third-party decisions prevail.

8. NON-CIRCUMVENTION & PLATFORM PROTECTION

Where any engagement, placement, hiring, consultancy, internship, apprenticeship, or collaboration originates through SkillO:

• Users shall not bypass the platform to avoid disclosure or fees
• Both parties must inform Skills Oxygen LLP if an engagement occurs
• Applicable facilitation or platform fees shall be payable as per plan or agreement

Any direct engagement outside the platform does not waive Skills Oxygen LLP's entitlement to fees.

9. FEES & PAYMENTS

• Certain services may be paid or subscription-based
• Fees, plans, and payment terms will be communicated separately
• There may be separate fee or lump sum charges for our offered services, for which separate contract/agreement will be required. Those contracts will be in addition to the general terms and conditions.
• In the event of any conflict between the Terms and Conditions and the specific Contract for any service, the later will prevail.
• Skills Oxygen LLP reserves the right to revise pricing

Failure to pay applicable fees and charges may result in suspension or termination.

10. THIRD-PARTY INTERACTIONS

SkillO and Skills Oxygen LLP are not responsible for:

• Conduct of employers, institutions, or individuals
• Accuracy of third-party content
• Outcomes of off-platform engagements

Users engage with third parties at their own risk.

11. INTELLECTUAL PROPERTY

All platform content, branding, software, and materials are the intellectual property of Skills Oxygen LLP or its licensors.

Users may not copy, reproduce, modify, or distribute platform content without written permission.

12. CONFIDENTIALITY

Users agree not to misuse or disclose confidential information obtained through SkillO, including assessments, institutional data, or business insights.

13. TERMINATION

Skills Oxygen LLP may suspend or terminate access:

• For violation of these Terms
• For legal or regulatory reasons
• For misuse or fraudulent activity

Termination does not affect accrued rights or obligations.

14. DISCLAIMER OF WARRANTIES

The Platform and Services are provided "as is" and "as available" basis.

Skills Oxygen LLP disclaims all warranties, including:

• Employment or placement guarantees
• Accuracy or completeness of data
• Fitness for a particular purpose

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Skills Oxygen LLP shall not be liable for:

• Employment or career outcomes
• Business or institutional decisions
• Loss of income, opportunity, or reputation
• Errors in assessments or AI outputs
• Indirect, incidental, or consequential damages

16. INDEMNIFICATION

Users agree to indemnify and hold harmless Skills Oxygen LLP from claims arising from:

• Violation of these Terms
• Misuse of the Platform
• Unauthorized data sharing
• Disputes with third parties

17. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of India.

Courts located in India shall have exclusive jurisdiction.

18. MODIFICATIONS TO TERMS

Skills Oxygen LLP may update these Terms at any time.

Continued use of the Platform constitutes acceptance.
